Original Work

Over the course of six months, I was tasked with creating an Original Work project that is to serve as a representation of the skills and knowledge I have gained. Mr. Parekh and I decided that the best way to depict everything that I have learned about corporate law was through the formation of a fake corporation. We selected three key governing documents for me to research, understand, and draft: the Certificate of Formation, bylaws, and Written Consent of the Board of Directors in Lieu of the Organizational Meeting. 

Through the research process, I was exposed to several corporate law concepts such as types of corporations (and the legal obligations of each one) and statutory interpretation. Furthermore, I also gained insight of how a corporate attorney must think. For example, corporate attorneys have to exercise critical thinking skills as extreme attention to detail.
